1. Acceptance of Terms
Welcome to Remixr, a service provided by Amulet Studios LLC, a limited liability company organized under the laws of the State of Wyoming. By accessing and using the Remixr platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. Violating the user agreement will lead to account takedown.
2. Description of Service
Remixr is a platform that empowers creativity through music and art. Our service includes:
- Music upload and sharing capabilities
- Artist profile creation and management
- Storefront to sell Tracks and/or Albums (Contents)
- Social features for connecting with other artists
- Promotion of live performances and concerts
Registered users of the Platform may submit, upload, share (through in-app message) and post photos, texts, audios, graphics, and other content, data and information ("Content"), which will be stored by Remixr at the direction of such registered users, and maybe shared and distributed by such registered users, and other users of the Platform, using tools and features provided as part of the Platform's functioons and as made available on the Platform.
The Platform includes a social and interactive features that enable users to engage with and learn from the Remixr community in order to build connections with other users and ensure you get the content that interests you most.
Some features of our Platform are only available to registered users who subscribe to a certain Service (Pro Subscription). Remixr however remains free to users that choose not to subscribe to such Serivces.
From time to time, we may release new tools and resources on the Website, release new versions of our Apps, or introduce other services and/or features for the Platform. Any new services and features will be subject to these Terms of Use as well as any additional terms and conditions that we may release for those specific services or features.
3. User Accounts
To access certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
4. Content and Intellectual Property
4.1 User Content
You retain ownership of all content you upload to the Service. By uploading content, you grant Remixr a non-exclusive, royalty-free license to:
- Display, distribute, and perform your content on the platform
- Modify content as necessary for technical requirements
- Use content for promotional purposes
4.2 Prohibited Content
You agree not to upload content that:
- Violates any laws or regulations
- Infringes on intellectual property rights
- Contains harmful, offensive, or inappropriate material
- Promotes violence, discrimination, or illegal activities
- Contains malware or malicious code
Keep in mind we are registered under DMCA. Any upload of copyrighted content will lead to account takedown.

5. Pro Tier / Subscription Terms
Our Platform offers Pro tier planned at $4.99/month or $47.99/year. Your subscription begins on the date of purchase and automatically renews at the end of each billing period (monthly or annually) unless cancelled prior to the renewal date.

Remixr reserves the right to modify, add, or remove Pro features at any time. Material reductions to Pro features will be communicated via email at least 14 days in advance. Non-material change (UI updated, minor feature adjustments) may occur without notice.

All subscription purchases are generally non-refundable except where required by applicable law or as described below.

Single Account Use
A Remixr Pro subscription is for a single user accoutn and may not be shared or transferred to another account.
Suspension and Termination
If your account is suspended or terminated for violation of Remixr's Terms of Service, no refund will be issued for remaining subscription time. Access to Pro features will be revoked immediately upon termination.
Account Deletion
If you choose to delete your account, your Pro subscription will be cancelled effective immediately. No prorated refund will be issued for unused subscription time unless required by applicable law.
Payment Processing
Payment for web subscriptions is processed by Stripe, Inc. Remixr does not store credit card numbers. By subscribing, you also agree to Stripe's Terms of Service and Privacy Policy.
If payment fails, Remixr will attempt to retry the charge according to Stripe's standard retry schedule. Your Pro access may be suspended during a failed payment period until the charge is resolved.
Price Changes
Remixr may change the price of Remixr Pro at any time. If your subscription price changes.
7. Privacy and Data Protection
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
8. Prohibited Uses
You may not use our Service:
- For any unlawful purpose or to solicit others to perform unlawful acts
- To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
- To infringe upon or violate our intellectual property rights or the intellectual property rights of others
- To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
- To submit false or misleading information
- To upload or transmit viruses or any other type of malicious code
9. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.
10. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no representations or warranties of any kind, express or implied, regarding the use or results of the Service.
11. Limitation of Liability
In no event shall Remixr, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service.
12. Governing Law
These Terms shall be interpreted and governed by the laws of the United States, without regard to its conflict of law provisions.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

15. Remixr Store
Overview
The Remixr Store allows artists on the Remixr platform to list their music for sale as downloadable MP3 files. Buyers can purchase and download tracks directly from the platform. Amulet Studios LLC. acts as the marketplace operator not as the seller of record, with the exception of exclusive contents. Sellers are independent artist who are solely responsible for the content they list.
Seller Eligibility & Onboarding
Who can Sell
Users who choose to sell their tracks (Sellers) must have following requirements: Must have an active Remixr account, Must be 18 years of age or older, OR have verifiable parental/guardian consent. Sellers MUST complete Stripe Connect onboarding to receive payouts. Sellers MUST OWN or HOLD the appropriate rights to any content listed for sale. Failure to following the copyright rule will lead to permanent ban on Store and possible termination of Remixr account.
Stripe Connect requirement
To receive payouts from sales, sellers must connect a Stripe account via Stripe Connect. By connecting, sellers agree to Stripe's Connected Account agreement and Stripe's Services Agreement. Remixr does not store bank account or payment information and this is handled entirely by Stripe.
Seller Responsibilities
Sellers are responsible for the accuracy of their listings (title, description, preview, file quality). Sellers are responsible for ensuring they hold all necessary rights before listin (see section Content & Intellectual Property). Sellers are responible for their own tax obligations. Remixr does not withhold or remit taxes on seller payouts. Sellers must keep their Stripe Connect account active and verified to receive payouts.

Minimum Payout Viability
Sellers should be aware that on very low-priced tracks, the flat $0.30 Stripe fee represents a significant portion of the sale. For example:
Fee Changes
Remixr reserves the right to modify the platform fee percentage. Sellers will be notified at least 30 days in advance of any fee change via email. The updated fee will apply to sales made after the effective date not retroactively.
Payouts
Payout Conditions
Seller must have a fully verified and active Stripe Connect account.Payouts are held if Stripe identifies the seller's account as requiring additional verification. Payouts may be delayed or withheld in the event of a dispute, refund, or suspected fraud. Remixr is not responsible for delays caused by Stripe or the seller's financial institution.
Failed Payouts
If a payout fails due to invalid bank details or a closed account, the funds will be held by Stripe pending resolution. Sellers must update their Stripe Connect account details to receive the held funds. Remixr is not liable for funds lost due to seller-provided incorrect banking information.
International Sellers
International sellers (outside the US) may use Stripe Connect where available. Payout timing, currency conversion, and availability vary by country. Sellers are responsible for any currency conversion fees charged by their bank. Remixr pays out in USD only.
Buyer Terms
Purchase & Download
All sales are for digital MP3 downloads only — no physical goods are sold.Upon successful payment, the buyer receives a download link for the purchased track. Buyers are responsible for saving their download — Remixr does not guarantee permanent re-download access. Downloads are for personal use only (see Buyer License).
Buyer Refund Policy
Because Store purchases are digital downloads, all sales are generally final once the download has been accessed or delivered. Exceptions: The downloaded file is corrupted or unplayable — buyer may request a replacement or refund within 7 days. The listing materially misrepresented the content (e.g., wrong track delivered) — buyer may request a refund within 7 days. Duplicate charge due to a payment error — full refund issued upon verification. To request a refund, contact remix.official0714@gmail.com within 7 days of purchase with your order details.
EU buyers have a 14-day right of withdrawal on digital content — however, this right is waived once the buyer accesses the download link. Make this explicit with a checkbox at checkout: 'I understand that by downloading this file, I waive my right of withdrawal.' This is required for EU compliance.
Chargebacks
If a buyer initiates a chargeback with their card issuer, Remixr will contest the chargeback using Stripe's dispute tools. Sellers whose tracks are involved in a chargeback may have the corresponding payout reversed. Accounts with excessive chargebacks or disputes may be suspended.
Prohibited Listings
The following are not permitted in the Remixr Store: Tracks containing unlicensed samples or interpolations of copyrighted material. Covers of copyrighted songs unless the seller holds a valid mechanical license. Content that infringes on any third-party intellectual property rights. Content that is harmful, obscene, defamatory, or violates applicable law. Content already distributed for free download elsewhere that is listed as exclusive — seller must accurately represent exclusivity. AI-generated content that incorporates the voice, likeness, or style of a real artist without their consent. Tracks the seller does not have the right to sell (ghost-produced tracks without proper assignment of rights).
Taxes
Seller Tax Responsibility
Sellers are solely responsible for determining and fulfilling their tax obligations arising from Store sales. This includes but is not limited to income tax, self-employment tax, VAT, GST, and any local digital services taxes.
Remixr does not withhold taxes from seller payouts and does not provide tax advice. Sellers in the United States who earn over $600 USD in a calendar year through the platform may receive a 1099-K from Stripe directly. International sellers are subject to their own local tax laws.
Buyer Taxes
Buyers may be subject to sales tax or VAT on digital goods depending on their jurisdiction. Where required by law, applicable taxes will be calculated and added at checkout via Stripe Tax. The displayed track price does not include applicable taxes unless stated.
Dispute Resolution Between Buyers & Sellers
Remixr acts as a marketplace operator and is not a party to transactions between buyers and sellers. However, Remixr may, at its discretion, assist in resolving disputes where: A buyer reports a materially misrepresented or defective listing. A seller reports fraudulent purchase activity. A chargeback is initiated and Remixr has relevant transaction data.
Remixr's decision in any assisted dispute is final. Remixr reserves the right to issue refunds, reverse payouts, or suspend accounts as part of dispute resolution. Remixr is not liable for losses incurred by either party in a buyer-seller dispute.
Store Suspension & Termination
Limitation of Liability
To the fullest extent permitted by law, Amulet Studios LLC is not liable for:
Remixr's total liability for any claim arising from the Store is limited to the platform fees collected by Remixr on the transaction(s) giving rise to the claim.
Governing Law
These Store Terms are governed by the laws of the State of Wyoming, without regard to conflict of law provisions. Any disputes shall be resolved through binding individual arbitration under the rules of the American Arbitration Association (AAA). Class action waiver applies — buyers and sellers waive the right to participate in any class action lawsuit related to Store transactions.

Any disputes arising from a Remixr Pro subscription shall be resolved through binding individual arbitration under the rules of American Arbitration Association (AAA), except where prohibited by law. You waive any right to participate in a class action lawsuit or class-wide arbitration related to your subscription.
